CONFIRMATION OF SALE –SOUTH FLORIDA SALES CO. LLC

 

The undersigned agrees that on this date I have purchased the below-named horse for the amount set forth below and that I have read, understand, and agree to be bound by the terms and conditions of sale as printed in the South Florida Sales Company, LLC (“South Florida”) catalog. I understand those terms and conditions include my consent to service of process, jurisdiction and venue chosen by South Florida, all to be effected by regular mail; that I grant a security interest in this horse and its products, proceeds and registration papers to South Florida pending payment in full, including costs and expenses to enforce the terms and conditions; that South Florida shall have any and all remedies of a secured party pursuant to the Uniform Commercial Code; that South Florida is appointed as my attorney-in-fact to execute any documents necessary to enforce the terms and conditions, allow transfer of the horse, and endorse insurance proceeds; that South Florida has the option to arbitrate any dispute arising pursuant to the sale; that I authorize South Florida or its representative to appear for me and CONFESS JUDGMENT against me for all amounts due pursuant to the terms and conditions; that my purchase is made AS IS without any representations or warranties, and that I may be liable for sales tax for this purchase. In the event that South Florida, institutes any collection action against me arising from this transaction, I agree to pay all costs incurred by South Florida as a result of such collection action, including but not limited to filing fees paid to various offices at the court house, ancillary charges such as service costs and stenographic fees, and reasonable attorney’s fees, which term shall mean the greater of actual attorney’s fees, $2,500.00, or ten percent (10%) of the amount owed by me to South Florida. Florida Sales Tax will be added to the sale price of the animal where applicable. I must immediately examine this horse and immediately report any claims to the sales manager. If I fail to do so, I waive any objections to this sale or the physical condition of this horse.
